Chapter 1 General Provisions

Article 1 The name of the association in Chinese:中国实验动物学会, English name: Chinese Association for Laboratory Animal Sciences, abbreviated as CALAS.

Article 2 Chinese Association for Laboratory Animal Sciences (hereinafter referred to as CALAS) is an academic, nationwide and non-profit social organization voluntarily composed of scientists, technicians, relevant enterprises, institutions and social organizations in the filed of laboratory animal science and technology. It is a bridge and link between the Communist Party of China, the Chinese government and scientists, technicians in the field of China's laboratory animal science and technology. It is an important social force for the development of China's laboratory animal science and technology undertakings, and a member of China Association for Science and Technology (hereinafter referred to as CAST).

Article 3 The aim of CALAS is to adhere to the guidance of Marxism-Leninism, Mao Zedong Thought, Deng Xiaoping Theory, the Theory of Three Represents, the Scientific Outlook on Development, and Xi Jinping Thought on Socialism with Chinese Characteristics for a New Era, and adhere to the idea that science and technology are the primary productive forces in accordance with the strategic layout of building a moderately prosperous society in an all-round way, comprehensively deepening reform, comprehensively governing the country according to law, and comprehensively and strictly administering the party. CALAS should unite and organize the vast number of scientists and technicians in the field of laboratory animal science and technology, implement the strategy of rejuvenating the country through science and education and sustainable development, implement the fundamental principles of national scientific and technological work, promote a culture of respecting labor, knowledge, talent, and innovation, advocate the scientific spirit of dedication, innovation, truth-seeking, and collaboration, and adhere to the principles of democratic management and the policy of "letting a hundred flowers blossom and a hundred schools of thought contend". Our goal is to promote the popularization, prosperity and development of laboratory animal science and technology, facilitate the growth of laboratory animal science and technology team, advance the combination of laboratory animal science and technology with economic construction. CALAS should serve the professional development of its members, scientists and technicians in the field of laboratory animal science and technology, serve the development of laboratory animal science theory, science and technology and industrial development, and serve the socialist modernization construction.

CALAS should abide by the statute, laws, regulations and national policies, practice the core socialist values, promote the spirit of patriotism, abide by social ethics, and consciously strengthen the construction of integrity and self-discipline. 

Article 4  CALAS should adhere to the overall leadership of the Communist Party of China, and be in accordance with the provisions of the statute of the Communist Party of China, establishes the organization of the Communist Party of China, carries out the activities of the Party, and provides the necessary conditions for the activities of the Communist Party of China.

Article 5 CALAS should accept the professional guidance, supervision and management of the Professional Supervisory Unit, the China Association for Science and Technology which is the professional supervisory unit and the Ministry of Civil Affairs of the People’s republic of China which is an organization responsible for the management of associations in China.

Article 6 The domicile of CALAS should be located in Beijing.

Chapter 2   Business Scope

Article 7 Business Scope of CALAS

1. Carrying out academic exchanges in laboratory animal science and technology; Editing and publishing academic journals, library materials and electronic audio-visual products of laboratory animals in accordance with relevant regulations; Participating in the compilation and release of professional textbooks; Compiling and publishing research reports on laboratory animal science and related research and industrial development strategies; Supporting members and laboratory animal scientific researchers in conducting scientific research;
2. Carrying out non-governmental international scientific and technological exchange activities; Promoting international scientific and technological cooperation, and developing contacts and exchanges with overseas laboratory animal groups and scientists, technicians in the field of laboratory animal science and technology;
3. Carrying out knowledge and skills training and on-the-job training, professional continuing education for its members and scientists, technicians in the field of laboratory animal science and technology;
4. According to relevant regulations and standards, conducting professional and technical level evaluations of members and scientific researchers in the field of laboratory animal science and technology; conducting assessment and evaluation of laboratory animal resources, laboratory animal models, welfare of laboratory animal institutions, laboratory animal technologies, and facilities and equipment for laboratory animals;
5. In accordance with the regulations of the Ministry of Science and Technology on the management measures for science and technology awards set up by social organizations, carrying out social science and technology award reviews; recommending members and scientific researchers, especially young people, in the field of laboratory animal science and technology; 
6. In accordance with relevant regulations and approved by the competent authority, conducting scientific and technological achievement evaluation, scientific and technological demonstration, project assessment, and scientific and technological consultation services; Establishing and revising industry associations, and participating in the revision of national standards for the industry;
7. Reflecting the suggestions, opinions and demands of its members, scientists, technicians in the field of laboratory animal science and technology; Safeguarding the legitimate rights and interests of members and scientists, technicians in the field of laboratory animal science and technology, and promoting the construction of scientific ethics and learning style;
8. Carrying forward the spirit of science and scientists, popularizing scientific knowledge, and disseminating scientific ideas and methods. Defending the dignity of science, promoting advanced technology, carrying out scientific and technological education activities for young people, and improving the scientific literacy of the whole population;
9. Promoting the transformation of scientific and technological achievements in this field, the combination of industry, academia and research, advanced technology, and the scientific and technological progress of the industry, to contribute to the establishment of a technological innovation system with enterprises as the main body and comprehensively enhance the independent innovation ability of enterprises;
10. Putting forward scientific and technological suggestions on the formulation of national science and technology policies, regulations and state affairs, and promoting the scientific and democratic decision-making;
11. Establishing public welfare undertakings that conform to the statute of CALAS, serve the members, and are conducive to promoting the national scientific and technological, economic and social development of China.

Matters requiring approval according to laws, regulations, and other provisions in the scope of business shall be carried out after approval in accordance with the law.

Chapter 3   Membership

Article 8 Members of CALAS include individual members and organizational members. Among them, individual members are divided into ordinary members, lifetime members, and Fellows.

Article 9 Members applying to join CALAS must meet the following conditions:

1. Support the statute of CALAS;
2. Have the intention to join CALAS;
3. Pay the membership fee as required;
4. Engage in science and technology, education, production, publication, or management of laboratory animal science or related professions, and meet the following specific conditions:
(1) Ordinary Member: Hold a college degree or above, hold a junior professional and technical title or above; graduate from a related discipline with secondary education or above and engage in laboratory animal related work for more than 3 years.
(2) Lifetime Member: An ordinary member who pays a specified amount of membership fee as required.
(3) Fellow: Experts or scholars who have made outstanding achievements in the field of laboratory animals or related areas, have deep academic attainments, and have made outstanding contributions to the progress of laboratory animal science and technology or the development of CALAS.  
5. Institutional Member: Enterprises, institutions and academic social groups registered according to law that are related to the profession of CALAS and have a certain number of scientific and technological personnel, and are willing to participate in the relevant activities of CALAS, and actively support the work of CALAS.

Article 10 Membership Admission Procedure
1. Submit an application for membership;
2. Approved after discussion by the Board of Directors or the Executive Council of CALAS;
3. A membership certificate is issued by the Board of Directors or an authorized institution.

Article 11 Members enjoy the following rights:
1. The right to vote, to be elected and to vote in CALAS;
2. Participating in the activities of CALAS;
3. Priority access to the services of CALAS;
4. The right to criticize, make suggestions, and supervise the work of CALAS;
5. Voluntary admission and freedom to withdraw from CALAS.

Article 12 Members shall fulfill the following obligations:
1. Abide by the statute of CALAS and implement the resolutions of CALAS;
2. Safeguard the legitimate rights and interests of CALAS;
3. Complete the tasks assigned by CALAS;
4. Pay the membership fee as required;
5. Provide information to CALAS and submit relevant materials.

Article 13 A member who withdraws from membership shall notify CALAS in written form and return the membership certificate. Those who fail to pay the membership fee for one year or do not participate in the activities of CALAS shall be deemed to have automatically withdrawn from the membership, forfeiting the membership and the qualifications for CALAS positions, and the membership certificates (plaques) shall be invalidated.

Article 14 Members who have serious violations of discipline and are investigated and punished or criminally punished, or who have serious violations of the statute of CALAS and who have academic misconduct, shall be removed from the membership and revoked from their positions, and their membership certificate shall be invalidated upon the vote of the Board of Directors or the Executive Council.


Chapter 4 Organizational Structure and The Appointment and Removal of Responsible Persons


Article 15 The highest authority of CALAS is the Member Representative Assembly, and the functions and powers of the Member Representative Assembly are:
1. To formulate and amend the statute of CALAS;
2. To elect and dismiss directors and supervisors;
3. To review the work reports and financial reports of the Board of Directors;
4. To review the work report of the Board of Supervisors;
5. To formulate and revise membership fee standards;
6. To make decisions on termination matters;
7. To decide on other major matters.

Article 16 The Member Representative Assembly shall be convened with the attendance of more than 2/3 of the member representatives, and its resolutions can only take effect after being voted by more than 1/2 of the representatives of the members present. The formulation and revision of the statute of CALAS, the election and removal of directors shall be voted by more than 2/3 of the representatives of the members.

Article 17 The Member Representative Assembly shall be held every 5 years. In case of special circumstances requiring early or postponed sessions, the decesion must be approved by the Board of Directors, reviewed by the competent business authority, and approved by the registration management organ of CALAS. The early orpostponed session period shall not exceed 1 year.

Article 18 The Board of Directors is the executive body of the Member Representative Assembly, leading the association’s daily work during the inter-sessional period of the Member Representative Assembly and being responsible to the Member Representative Assembly. 

Article 19 The responsibilities of the Board of Directors are as follows:
1. To implement the resolutions of the Member Representative Assembly;
2. To elect and dismiss the president, vice-presidents and executive directors; Appoint and dismiss the Secretary-General.
3. To prepare for the convening of the Member Representative Assembly;
4. To report the work and financial status to the Member Representative Assembly;
5. To decide on the admission or removal of members;
6. To decide on the establishment, modification and termination of executive offices, branches, representative offices and entities;
7. To decide on the appointment of deputy secretaries-general and heads of various institutions;
8. To lead the work of the various institutions of CALAS;
9. To formulate internal management systems;
10. To decide on the establishment of honorary positions and candidates;
11. To decide on other major matters.

Article 20 The Board of Directors can be convened only when 2/3 or more of the directors are present, and its resolutions can only take effect after being voted by 2/3 or more of the directors present. 

Article 21 The Board of Directors shall hold meetings at least once a year, and in special circumstances, meetings may be held through communication methods. 

Article 22 CALAS shall establish an Executive Council, with the numbers not exceeding 1/3 of the Board of Directors. The Executive Council exercises the responsibilities specified in Items 1, 3, 5, 6, 7, 8, and 9 of Article 19 during the recess of the Board of Directors and is accountable to the Board of Directors. The Executive Council is elected by secret ballot of the Board of Directors and serves the same term as the Board of Directors.

Article 23 The Executive Council must be convened with the attendance of more than 2/3 of the Executive Directors, and its resolutions can only take effect after being voted by over 2/3 of the Executive Directors present at the meeting. Executive Council members who cannot attend may delegate representatives to participate and have the right to vote by proxy. Executive Council members who fail to attend meetings without valid reasons for two consecutive times shall automatically lose their status as Executive Council members.

Article 24 The Executive Council shall convene meetings at least once every six months, and under special circumstances, it may be convened in the form of communication. 

Article 25 Principles of the Composition of the Board of Directors and the Executive Council 
1. In principle, the number of the Board of Directors is determined in a certain proportion according to the number of members of CALAS, with the size of the Board of Directors not being excessively large;
2. The candidates for the Board of Directors should be laboratory animal practitioners who have certain achievements in the professional field, have a decent study style, and are enthusiastic about the work of CALAS; The proportion of experts, scholars and the front-line scientific and technological workers and managers in the industry-academia-research collaboration should be appreciate; The age structure is reasonable, and the age of the new nominators cannot exceed 70 years old; The adjustment of membership for each term should not be less than 1/3 of the number of the Board of Directors.
 
Article 26 The President, Vice-President and Secretary-General must meet the following conditions:
1. Love the motherland, adhere to the Party's line, principles and policies, and have good moral character and study style;
2. Be experts, scholars or individuals with great influence in the discipline and field of practice;
3. The maximum age of the President and Vice-President should not exceed 70 years old, and the maximum age for Secretary-General is 62 years old and must be full-time when he/she takes office;
4. Love the cause of the community, be in good health, and be able to work normally;
5. Have not received criminal punishment for deprivation of political rights;
6. Have full capacity for civil conduct;
7. Have a democratic work style and strong team spirit.

Article 27 If the President, Vice-President and Secretary-General of CALAS exceed the maximum age limit for holding office, it shall be subject to the resolution of the Board of Directors, reviewed by the competent business supervisory authority, and approved by the registration authority for social organizations before assuming office. 

Article 28 The President and Vice President of CALAS shall serve a term of 5 years each, and may not be re-elected for more than two consecutive terms. 

Article 29 The President of CALAS is the legal representative of the Association. In special circumstances, with the authorization of the President and the approval of the Board of Directors, and after review by the competent business supervisory authority and approval by the registration authority for social organizations, the Vice President may serve as the legal representative. 

The legal representative signs the relevant important documents on behalf of CALAS.

The legal representative of CALAS shall not concurrently serve as the legal representative of any other organizations.

Article 30 The Secretary-General of CALAS shall be nominated by the President and appointed with the consent of the Board of Directors, and shall complete the registration procedures with the China Association for Science and Technology and the registration authority for social organizations as required. The President shall not concurrently serve as the Secretary-General. 

Article 31 The President of CALAS shall exercise the following function and power:
1. Convene and preside over meetings of the Board of Directors and the Executive Council of the Board;  
2. Inspect the implementation of the resolutions of the Member Representative Assembly, the Meeting of the Board of Directors, and the Executive Council Meeting;

Article 32 The Secretary-General of CALAS shall exercise the following function and power:

1. Preside over the secretariat to carry out daily work and organize and implement annual work plans;
2. Coordinate the work of various branches and entities; 
3. Nominate the Deputy Secretary-General  and the  principal responsible persons of each agency for approval by the Board of Directors, and the Executive Council;
4. Decide on the employment of full-time staff of each affiliated institutions;
Handle other daily affairs.

Article 33 CALAS shall establish a Board of Supervisors, with the term of office being the same as that of the Board of Directors, and reelection is permissible upon the completion of the term. The Board of Supervisors shall consist of 3-9 supervisors. The Board of Supervisors shall appoint one Chief Supervisor from among its members. The Chief Supervisor and Deputy Chief Supervisor shall not exceed 70 years old and they may serve for no more than two consecutive terms.

CALAS accepts and supports the supervision and guidance of appointed supervisors.

Article 34 Election and removal of supervisors:
1. Supervisors shall be elected by the Member Representative Assembly;
2. The removal of supervisors shall follow the same procedures as their election.

Article 35 The leaders, directors, executive directors, and financial management personnel of CALAS, as well as branch leaders, and full-time staff members of CALAS shall not concurrently serve as supervisors.

Article 36 The Board of Supervisors exercises the following function and power:   
1. Attend meetings of the Board of Directors and Executive Council and raise inquiries or suggestions on resolutions;
2. Supervise the actions of directors, executive directors, and leaders in performing their duties for CALAS, and propose the removal of individuals who seriously violate CALAS' articles or resolutions of the Member Representative Assembly;
3. Inspect the financial reports of CALAS and report the work of the Board of Supervisors to the Member Representative Assembly and make proposals;
4. Require timely correction of actions by leaders, directors, executive directors, and financial management personnel that harm the interests of CALAS;
5. Report problems in the work of CALAS to relevant competent authorities, industry management agencies, registration management authorities, as well as tax and accounting authorities;
6. Decide on other matters that should be reviewed by the Board of Supervisors.

The Board of Supervisors shall hold meetings at least every six months. A meeting of the Board of Supervisors must be attended by more than 2/3 of the supervisors to be convened, and its resolutions shall be valid only with unanimous consent from all supervisors.


Article 37 Supervisors shall abide by relevant laws, regulations, and the articles of CALAS, and fulfill their duties faithfully and diligently.

Article 38 The Board of Supervisors may investigate the activities of CALAS. When necessary, it may engage accounting firms to assist in its work. Expenses necessary for the exercise of the powers of the Board of Supervisors shall be borne by CALAS.

Article 39 CALAS may establish branch institutions or representative offices within its objectives and scope of business in accordance with relevant national regulations, based on actual work needs and commensurate with the management capabilities of CALAS. Branch institutions of CALAS shall be established based on the characteristics of the membership composition and division of business scope, while representative offices shall be authorized by CALAS to conduct liaison, communication, and research activities within designated areas. Branch institutions and representative offices are integral parts of CALAS, do not have legal person status, shall not formulate separate articles, shall not issue any form of registration certificate, and shall conduct activities within the scope authorized by CALAS in accordance with the objectives and business scope stipulated in these articles of CALAS, with legal responsibilities borne by CALAS.

Article 40 CALAS shall not establish regional branch institutions, nor shall it establish branch institutions or representative offices under branch institutions or representative offices..

Article 41 The names of branch institutions shall end with terms such as "branch", "specialized committee", "working committee", "special fund management committee", etc., while the names of representative offices shall end with terms such as "representative office", "office", etc. The names of branch institutions and representative offices shall not include the names of various types of legal persons, nor shall they include terms such as "China", "Chinese", "national", "state", etc. When conducting activities externally, they shall use the standardized full name with CALAS..

Article 42 The maximum age limit for the highest-ranking officials of branch institutions and representative offices shall not exceed 70 years old, and they may serve for no more than two consecutive terms.

Article 43 The finances of branch institutions and representative offices shall be incorporated into the statutory account of CALAS for unified management, and all income and expenditure shall be included in the unified financial accounting of CALAS.

Article 44 CALAS shall report relevant information on branch institutions and representative offices to the registration management authorities in its annual work report. At the same time, it shall promptly publicize relevant information to the public and willingly accept social supervision.


Chapter 5 Principles of Asset Management and Use

Article 45 Sources of funds of CALAS:
1. Membership fees;
2. Donations;
3. Government funding;
4. Income from activities or services carried out within the approved scope of business;
5. Interest;
6. Other lawful income.

Article 46
CALAS shall collect membership dues in accordance with the relevant provisions of the People’s Republic of China. CALAS carries out commendation and reward activities without charging any fees.

Article 47 The funds of CALAS must be used for the business scope and development of the cause stipulated in the statute of CALAS and shall not be distributed among the members.

Article 48 CALAS shall establish strict financial management systems to ensure that the accounting information is legal, true, accurate and complete.

Article 49 CALAS is equipped with accounting personnel with professional qualifications. The accountant may not concurrently serve as a cashier. Accounting personnel must conduct accounting and exercise accounting supervision. When an accountant transfers or leaves his or her job, he or she must complete the handover formalities with the person who takes over.

Article 50 The assets management of CALAS must implement the financial management system stipulated by the People’s Republic of China and accept the supervision of the Member Representative Assembly and the financial agencies. If the source of assets is state appropriations or social donations or funding, they must be supervised by auditing authorities and the relevant information shall be publicized to the public in an appropriate manner.

Article 51 CALAS must undergo financial audit before the change of term or the replacement of the legal representative.

Article 52 The assets of CALAS should not be embezzled, privately divided or misappropriated by any organization or individual.

Article 53 The salaries, insurance and welfare benefits of the full-time staff of CALAS shall be implemented with reference to the relevant provisions of the People’s Republic of China for public institutions.


Chapter 6 Procedures for Amending the Statute of CALAS

Article 54 Amendments to the statute of CALAS must be voted on and approved by the Board of Directors before being submitted for deliberation at the Member Representative Assembly.

Article 55     The amended statute of CALAS shall take effect within 15 days after being approved by the Member Representative Assembly. They must be reviewed and approved by the competent authorities for business supervision, and checked and approved by the registration management organ of CALAS.


Chapter 7 Termination Procedures and Disposition of Property after Termination

Article 56 If CALAS needs to be cancelled due to the completion of its purpose or due to separation, merger, self-dissolution or violation of discipline or law, the Board of Directors or the Excutive Council shall propose a resolution on termination.

Article 57 The motion of termination of CALAS shall be voted and approved by the Member Representative Assembly and submitted to the competent authorities for business supervision for examination and approval.

Article 58 Before the termination of CALAS, a liquidation organization should be established under the guidance of the competent authorities for business supervision and relevant authorities to clear up creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 59 CALAS shall be terminated after the deregistration formalities are completed by the registration management authority of CALAS.

Article 60 The remaining property after the termination of CALAS shall be used for the development of undertakings related to the purpose of CALAS or donated to social organizations with similar objectives under the supervision of the competent authorities and the registration management authority of CALAS in accordance with the relevant provisions of the People’s Republic of China.


Chapter 8 Supplementary Provisions

Article 61 The statute of CALAS was approved by the 8th Member Representative Assembly on May 18th, 2024, and shall take effect from the date of approval by the registration management authority of CALAS.


Article 62 The emblem of CALAS is a double-ring circular pattern with a green background and a white border, and the center of the inner ring is two rat-shaped experimental flasks that cross in reverse, and the upper and lower names between the inner and outer rings are respectively the Chinese and English names of CALAS (the emblem pattern and text description are attached).


Article 63 The right of interpretation of the statute of CALAS belongs to the Board of Directors of CALAS.

Article 64 The statute shall take effect from the date of approval by the registration management authority of CALAS.

Note:  The emblem of CALAS is composed of double circles, symbolizing the mutual cooperation between scientists, technicians in the filed of laboratory animal science at home and abroad  who promotes the common development of the global laboratory animal science; The emblem   is green and white as green symbolizes nature and life and white symbolizes science, technology and justice and the middle part is composed of two rats in the shape of an experimental flask, symbolizing that laboratory animal science is for scientific research such as life sciences. One  rat symbolizes laboratory animals and another rat symbolizes animal experimentation, which together make up laboratory animal science. Above the pattern is the words "中国实验动物学会" in Chinese, and below is the English name of the Association "Chinese Association for Laboratory Animal Sciences".
